The Artelia Italia Organisation, Management and Control Model

Legislative Decree No. 231/2001 (the 'Decree' in the following) introduced a system of administrative liability for Legal Entities (the 'Companies' in the following), for certain types of offences committed or attempted in the interest or to the advantage of the Companies by their directors, as well as by persons exercising, even de facto, management and control (so-called persons in apical positions) and, finally, by persons subject to the management or supervision of the aforementioned.

The same Decree provides that companies may not incur this form of liability if they prove that they have adopted and effectively implemented an organisation, management and control model (the "Model") suitable to prevent the commission of the offence. Artelia Italia S.p.A. has adopted, by resolution of the Board of Directors of 3 December 2018, a Model that complies with the indications of the Decree.
The Model adopted by Artelia Italia S.p.A. is consistent in its contents with the provisions of the Confindustria's "Guidelines for the Construction of Organisational, Management and Control Models Pursuant to Legislative Decree 231/2001" and is periodically updated and improved. In order to carry out the continuous monitoring and development of the model, a special Supervisory Board (SB) has been appointed in line with the requirements of the Decree.

The Model consists of a 'General Part' and individual 'Special Parts' prepared for the different types of offences and crimes to be prevented. The following are also an integral part of the Model

  • the Artelia group's code of ethics;
  • a guide to business conduct;
  • the integrity programme.

Any violation or suspected violation of Model 231/01 and/or any other information pertaining to the implementation of the Model may be reported to the Supervisory Board of Artelia Italia S.p.A.:
