The Artelia Italia Organisation, Management and Control Model

Legislative Decree No. 231/2001 (hereinafter referred to as the ‘Decree’) introduced a system of administrative liability for legal entities (hereinafter referred to as ‘Companies’) for certain types of offences committed or attempted in the interest or for the benefit of the Companies by their directors, as well as by persons who exercise, even de facto, management and control (so-called persons in senior positions) and, finally, by persons subject to the direction or supervision of the aforementioned.

The same Decree provides that Companies may not incur this form of liability if they demonstrate that they have adopted and effectively implemented an organisational, management and control model (the ‘Model’) suitable for preventing the commission of the offence.
Artelia Italia S.p.A. has adopted, by resolution of the Board of Directors on 3 December 2018, a Model that complies with the provisions of the Decree.
The Model adopted by Artelia Italia S.p.A. is consistent in content with the provisions of Confindustria's ‘Guidelines for the construction of organisation, management and control models pursuant to Legislative Decree 231/2001’ and is periodically updated and improved. In order to continuously monitor and develop the model, a specific Supervisory Body (SB) has been appointed in line with the requirements of the Decree.

The Model consists of a ‘General Section’ and individual ‘Special Sections’ prepared for the various types of crimes and offences to be prevented. The following are also an integral part of the Model:

  • the Artelia Group's code of ethics;
  • a guide to corporate conduct;
  • the integrity programme
